1. Company Identity and Jurisdiction

PRZC Research is a trading name of PRZC Research Limited, an International Business Company incorporated in the Republic of Seychelles on 1st April 2025 under the International Business Companies Act 2016 (Registration No. 245866). Our registered office is in the Republic of Seychelles.

PRZC Research is not authorised or regulated by the Financial Conduct Authority (UK), the Securities and Exchange Commission (US), the European Securities and Markets Authority, or any other financial regulatory body. We do not hold, and do not represent ourselves as holding, any licence to provide regulated financial advice, investment advice, or brokerage services in any jurisdiction.

By accessing or using this website or any of our services, you acknowledge that you are engaging with a Seychelles IBC and that your relationship with PRZC Research is governed exclusively by the laws of the Republic of Seychelles, regardless of your country of residence or the location from which you access the site.

2. Agreement to Terms

By accessing przc.re or using any PRZC Research service, you agree to be bound by these Terms of Service. If you do not accept these terms, you must not use the site or its services. These terms apply to all visitors, registered users, subscribers, and members.

3. Nature of Services

PRZC Research provides the following categories of service:

• Published Research: Independently produced market intelligence, sector analysis, and company research published freely on this website. This is informational content only.
• Commissioned Intelligence Reports: Bespoke research reports produced to a client brief. Reports may cover investment theses, corporate analysis, competitive intelligence, business due diligence, technical feasibility, and similar topics. Commissioned reports are intelligence outputs, not regulated investment advice.
• Membership Subscriptions: Recurring access to research credits, priority turnaround, and member-exclusive features. Subscriptions are charged in advance and subject to the cancellation terms in Section 6.
• Expert Network Consultations: Anonymous, Telegram-relayed consultations between members and vetted sector contributors. PRZC Research facilitates the connection and relay but is not a party to any consultation. Monero (XMR) is the settlement currency for expert network transactions.
• Credit Packs: One-off purchases of research credits redeemable against commissioned reports.

None of the above services constitutes regulated investment advice, financial advice, or any other regulated activity under any jurisdiction's financial services legislation. All outputs are intelligence, research, and analysis provided for informational purposes.

4. Expert Network — Specific Terms

The PRZC Expert Network is an anonymous marketplace. The following terms apply specifically to this service:

• All consultations are conducted via an encrypted Telegram relay. Neither party to a consultation is required to disclose their real identity to the other party. PRZC Research operates the relay and holds minimal operational data.
• Payment for expert consultations is made in Monero (XMR). Members are responsible for obtaining and operating a compatible Monero wallet. PRZC Research makes no warranty regarding XMR exchange rates or conversion.
• Contributors are independent. They are not employees, agents, or authorised representatives of PRZC Research. PRZC Research does not endorse, verify, or warrant the accuracy of any statement made by a contributor during a consultation.
• Contributors and members are strictly prohibited from sharing, soliciting, or knowingly receiving material non-public information (MNPI) — including undisclosed earnings, merger targets, or regulatory decisions — during any consultation. Any party who suspects MNPI has been shared must terminate the session immediately and report it to compliance@przc.re.
• PRZC Research retains a 30% platform fee on all expert network transactions. The remaining 70% is remitted to the contributor on session completion.

5. Prohibited Uses

You may not use this site or any PRZC Research service to:

• Share or solicit material non-public information about publicly listed securities
• Engage in market manipulation, insider dealing, or any activity that constitutes a market abuse offence in any jurisdiction
• Violate any non-disclosure agreement, employment contract, or confidentiality obligation you are subject to
• Reproduce, redistribute, or resell PRZC Research content without written authorisation
• Attempt to reverse-engineer, scrape, or extract data from this site by automated means

6. Subscriptions and Cancellations

Subscriptions are billed in advance (monthly, 6-monthly, or annually depending on the selected plan). Credits included with a subscription are allocated at the start of each billing period. Unused credits from a subscription cycle do not carry forward to the next cycle.

You may cancel your subscription at any time through the member portal. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods. PRZC Research reserves the right to cancel or suspend a subscription for breach of these terms without refund.

7. Intellectual Property

All published research, methodology, branding, and website content is the property of PRZC Research Limited. Commissioned reports are licensed to the commissioning client for their internal use. PRZC Research retains all underlying IP and may use anonymised findings, frameworks, and analytical approaches without restriction.

8. Disclaimers and Limitation of Liability

All research, reports, and intelligence outputs are provided "as is" without warranty of accuracy, completeness, or fitness for a particular purpose. PRZC Research is not liable for any decision made in reliance on any output. In no event shall PRZC Research's liability to any party exceed the total fees paid by that party in the twelve months preceding the relevant claim.

9. Governing Law and Dispute Resolution

These Terms of Service and all matters arising from them are governed exclusively by the laws of the Republic of Seychelles. Any dispute that cannot be resolved by direct negotiation between the parties shall be submitted to binding arbitration in Victoria, Seychelles, conducted in English under the Seychelles Arbitration Act 1994. The parties irrevocably exclude the jurisdiction of any other court or tribunal.

If you are a consumer in a jurisdiction whose laws do not permit mandatory arbitration clauses, the foregoing arbitration clause applies to the maximum extent permitted by law, with any residual dispute subject to the courts of the Republic of Seychelles.

10. Modifications

PRZC Research may update these Terms at any time. Continued use of the site following the posting of updated Terms constitutes acceptance of the changes. Material changes affecting existing subscriptions will be communicated by email to registered users with at least 14 days' notice.
